Licence agreement (EULA)

1. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on Mac computers that you own or control, to sign documents on the Egyptian Tax Authority's e-invoicing portal for yourself or for the organisation you are authorised to act for.

1. Free use. Without a paid licence, each tax registration number may make 3 free signatures. Free signatures are counted by our server and need an internet connection.
2. Paid licence. A paid licence is a one-time purchase for one tax registration number (the one in the signing certificate on your token). It does not expire and covers every release of the major version you bought (for example, all 1.x versions). A later major version (2.0 or higher) may be offered as a separate paid upgrade, at a discount for existing licence holders; you may keep using the versions your licence covers. A licence does not work for any other tax registration number.

2. Restrictions

You must not, and must not allow others to:

1. copy, sell, rent, lease, sublicense, distribute or publish the Software, except for one backup copy;
2. modify, translate or create derivative works of the Software;
3. reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits it despite this restriction;
4. remove or alter any copyright, trademark or other notices in the Software;
5. use the Software to sign any document you are not authorised to sign, or in breach of any law.

3. Ownership

The Software is licensed, not sold. We own all rights, title and interest in it, including all copyright and other intellectual property. All rights not expressly granted are reserved.

4. No affiliation

The Software is an independent product. It is not made, endorsed or supported by the Egyptian Tax Authority (ETA), the Information Technology Industry Development Agency (ITIDA), Egypt Trust or any token manufacturer. Their names are used only to describe compatibility.

5. How the Software handles your keys and data

1. Your private key stays on your hardware token. The Software asks the token to create a signature; it never reads, copies or exports the key.
2. Your token PIN is entered into the macOS system dialog or, for PKCS#11 tokens, passed directly to the token. The Software does not store or transmit it.
3. Signing happens on your Mac. The Software accepts signing requests only from https://invoicing.eta.gov.eg and only on your own computer. It never sends your documents, your PIN or your private key anywhere, and it does not collect analytics or telemetry.
4. What the Software sends to our server, and why:
   • Free signatures: the signatures you make, so we can count them. A signature contains your signing certificate (including the name and tax registration number in it) and a fingerprint (hash) of the document, not the document itself.
   • Licence renewal: every few weeks while you sign, your licence and one extra signature made by your token, so we can confirm the licence is still valid (§ 10).
   • Update checks: once a day, the Software asks which version is current. This reveals your internet address, as any internet request does.
5. Download page: to download the Software you give us your name, email address, company and tax registration number; we also record your country. We use these details to support your licence and to send you information about ETA Signer. We do not sell or share them.
6. Our server runs on Cloudflare, Inc. infrastructure, which may store data outside Egypt. To ask what we hold about you, or to have it deleted, email etasigner@youssefmaged.com. Deleting the record of your free signatures does not grant new free signatures.

6. Your responsibility for what you sign

Before each signature the Software shows you a summary of the document(s) to be signed. You are solely responsible for reviewing every document and for every document you sign. A digital signature may have legal and tax consequences. Whether a signed document is accepted, and its tax treatment, are decided by the ETA, not by us.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We do not warrant that the Software will be error-free, uninterrupted, compatible with every token or with future changes to the ETA portal, or that signed documents will be accepted.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, TAX PENALTIES, REJECTED OR INCORRECT INVOICES, OR LOCKED OR DAMAGED TOKENS, ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE, OR EGP 500 IF YOU PAID NOTHING. Nothing in this agreement limits liability that cannot be limited under applicable law.

9. Indemnity

You agree to indemnify us against claims arising from documents you sign with the Software or from your breach of this agreement.

10. Licence validation and cancellation

1. While you sign, the Software periodically confirms your paid licence with our server and receives a confirmation valid for 60 days. It renews this automatically; you need an internet connection at least once in every 60-day period (the ETA portal itself requires one).
2. We may cancel a licence that was issued in error, refunded, or used in breach of this agreement. A cancelled licence stops working within 60 days.
3. Interfering with licence validation, including changing the computer's clock to avoid it, is a breach of this agreement.

12. Updates and end of service

1. We may provide updates, for example when the ETA portal changes. Updates are covered by this agreement unless they come with a different one.
2. If we permanently stop operating the licensing service, we will make reasonable efforts to publish a final version of the Software that lets existing paid licences keep working without online confirmation.

13. Termination

This licence ends automatically if you breach it. On termination you must stop using and delete the Software. Sections 3, 4, 6–9 and 14 survive termination.

14. Governing law

This agreement is governed by the laws of the Arab Republic of Egypt. The courts of Cairo have exclusive jurisdiction over any dispute arising from it.
